upgrading- files to erase

I am upgrading to 3.0.1. I have erased the admin and includes files. There are files called cgi-bin and css. Do I erase them too? That leave the themes file (minus plugin folder, had no cache file), htaccess and config.php Before I begin FTPing files. I want to make sure I ok. Thanks. This the third try.
