Cannot replace new theme (Fatal Error)

    the following error occur when i activate new themes to my blog, however i know how to get back to admin but i want to resolve this problem and to activate new themes.

    Fatal error:Cannot redeclare comment_count() (previously declared in /home/studmate/public_html/wp-content/plugins/shortcode/shortcode.php:145) in /home/studmate/public_html/wp-content/themes/Herminia/functions.php on line 115

    step by step guide will be highly appreciated.
