I have tried Krishna’s methods but no help.
What I did :
rename currently theme folder to -hold_platform
rename all plugin folder to -hold_plugin_nameNo help….
I have another post asking for help.

I have my database backup before upgrade. Could I download a 3.5.1. pack then upload back to my server and restore the database ??

WordPress has been updated! Before we send you on your way, we have to update your database to the newest version.
The update process may take a little while, so please be patient.
While I click on “Update WordPress Database”, error shows up:
Fatal error: Allowed memory size of 41943040 bytes exhausted (tried to allocate 35 bytes) in /home3/eggstudi/public_html/wordpress/wp-includes/wp-db.php on line 1225
Anyway to get back to the dashboard ???

When I access Dashboard, I am staling on this URL:

The page shows a WordPress logo. That’s.
