Guessing that you need to deactivate and delete the WordPress Automatic Upgrade Plugin.
I have similar problem.
Error message:
Fatal error: Cannot redeclare pclziputilpathreduction() (previously declared in /home/business/www/www/wp-content/plugins/wordpress-automatic-upgrade/lib/pclzip.lib.php:5421) in /home/business/www/www/wp-admin/includes/class-pclzip.php on line 5498
I already deactivated the WP Automatic Upgrade Plugin.

markorton–some how it’s still using that plugin–try deleting the files for that plugin.

uh oh – i didnt RTFQ Read The F*&%ing Query — I failed to deactivate all the plugins before I uploaded the 2.8 upgrade. I did back up the DB & the Site but now what do I do — complete clean reinstall? Seems like the only way I get the :
500 – Internal server error.

Thanks for any help that avoids — by the time you read this I probably will have gotten frustrated & start from square ONE but hope someone else may benefit from my dumba$$ mistake!!!
UPDATE — I found that I could restore the state to previous working state then re-upload all the plug-ins after uploading WP 2.8 In case anyone else should encounter similar problem — this is how I was able to resolve. You may email me at steve.vicory@gmail.com
