Yes I am reviewing it, it says there “…For example, if you plan on upgrading from 2.5 to 3.5.1, upgrade to 2.7 first, followed by 2.9, and finally 3.5.1. Essential, it’s okay to skip one release, but never skip TWO when upgrading.”

The theme may not be compatible – check on that. If not, your client will need to find a new theme.
Make a good complete backup before proceeding on any updating.
Yes, absolutely update – it’s a major security risk to run old versions and WP servers are under major attacks right now.
Yeah I know…that’s why the upgrade.
Is there any way to look at the theme’s structure to evaluate the level of compatibility ?
