I just took over this site, and we really need to upgrade due to wordpress version being so old. SEO, etc really needs to be upgraded, but I am not sure what the best way to do this without breaking our custom template.

First I am not quite sure what version we have. Where would I look to figure that out?? Then I need to know what is the best route to upgrade. Any help would be great.

You should be able to see the version of WP in your “dashboard” or in the source of the blog (using the browser check “generator”). After having made sure what version you have, don’t try to upgrade from a stoneage version to the newest. There have been too many changes in the database structure. See this hint. Get old versions here. Upgrad instructions here.
It is quite likely that the theme no longer works. Many functionalities have been added and some removed during the years. There’s no way of telling beforehand.

So upgrading straight from 2.2 (thats the version we have now to 2.9 would not be a good idea?? Wonder if going one to another would do it?

Yes, follow the hint that Gangleri linked to.
