Theme Upload Problem

I have a XHTML and CSS website which i constructed and then converted this to PHP theme (Using Wordress as a CMS) so i could implement with WordPress but when i go to upload the file is installed but then i can’t activate or use it as its says there is an error. I have tried with another theme on the site apart from the Default and i receive the same error when activating.
