Have you tried:
– deactivating all plugins to see if this resolves the problem. If this works, re-activate the plugins one by one until you find the problematic plugin(s).
– switching to the default theme to rule out any theme-specific problems.
– resetting the plugins folder by FTP or PhpMyAdmin. Sometimes, an apparently inactive plugin can still cause problems.
– re-uploading all files & folders – except the wp-content folder and wp-config.php & root .htaccess files – from a fresh download of WordPress. Make sure that you delete the old copies of files & folder before uploading the new ones.

Thanks esmi… your suggestions are fine, however I was just about complete with the site and this backtrack is a HUGE set back. All was working okay previously before the forced update to 3.9, and I was just waiting for my client to send the last tid-bit of text and going to launch live… this is not really a minor issue for me… my time is valuable.

Did a bit of searching and found “Preserved HTML Editor Markup” plugin. I don’t know if this plugin is an optimal fix, but it worked.
