What files need to exist in order for WordPress to recognize my theme?

I have created an empty directory for my new theme. I want to build the theme from scratch and base it off of Sandbox. What files need to exist in the directory in order for my theme to be recognized in the WordPress administration panel? Is there some documentation on this subject?
