Are you trying to create a child theme? Or update WP or a theme?
If the former, did you follow this?

When I created my web site I downloaded a commercial theme and used FTP to put it into WordPress. WordPress advises that an update is available and a child theme is the preferred way to update. I read everything I could find on child theme but still have questions:
it says to create a directory. I can follow the Twentyeleven language to create the child theme directory, but do I put it below the current directory or do I insert it into the current directory, and if so, where? I assume that I then download the update and use FTP to transfer it to WordPress.
A child theme directory is on the same level as all other themes. It is not inside the current theme directory. Look at the page I linked to — it clearly shows the structure for child themes.
Also, if you have made any modifications to the regular theme, simply creating a child theme will not save them when you update. You have to move any changes to the child theme before you update the parent theme.
But since you are using a commercial theme, you really should contact them for help — as there may be something specific you need to do for that theme. Support is (or should be) part of what you pay for with commercial themes.
