Is your site currently in development and if so may I have access to take a look at the problem ?
WooCommerce 2.1.6 has been released. Are you using that version of WooCommerce as this plugin has not been tested on that version. That may be a possible reason.

no currently running 2.0.20, thinking it’s theme issue, is there specific code this plugin needs to hook into? What template file should I look at?
If it is a theme issue then I would look for any templates that override the checkout page.
The default hook that is used: woocommerce_after_order_notes
You can find the hooks located in the plugin: includes/mailpoet-woocommerce-hooks.php
There are two other hooks that I have placed there if you wish to change the location of the field.
First disable the default hook by placing // in front of it then simply remove // in front of the hook line you want to use.
