Invalid XHTML with “headerimg” DIV tag

Here is the error I am getting:

Error Line 24 column 22: document type does not allow element “div” here; missing one of “object”, “applet”, “map”, “iframe”, “button”, “ins”, “del” start-tag.

In FF the display of the header and the header image is fine, but in IE the background color of the “page” DIV peeks thru on the right hand side of the header. I’m assuming this is triggering the invalidity of the page, but I’m not sure how to fix it.
