Try:
– switching to the Twenty Eleven theme by renaming your current theme’s folder inside wp-content/themes and adding “-old” to the end of the folder name using FTP or whatever file management application your host provides.
– resetting the plugins folder by FTP or phpMyAdmin.
– re-uploading all files & folders – except the wp-content folder – from a fresh download of WordPress.
– running the upgrade manually via wp-admin/upgrade.php
And next time, please try to provide a little more detail to that we don’t have to play the “guess the problem” game.

Im running a multi-site installation so I guess it fails somewhere around that. it ONLY shows on the network admin pages so not the individual site admin pages and it occurred a minute ago directly after upgrading to 3.4 whereafter it displays constantly
somehow get_user_count( ) does not work in my specific multi-site installation on line 55 in update.php
which is get_site_option( ‘user_count’ );
database HAS user_count in sitemeta, hmmm

its strange, in update.php “user count” returns an integer while beneath line 55 it is treated as an array, that is where it fails
