I must be honest here, I'm freaking out.

I can FTP in and see the plugin folders and files. When I did the upgrade through the dashboard, every single plug in had an error message saying something about a header I believe. Every plugin, even very popular ones are gone from the dashboard. I have a newsletter plugin that people have signed up for, inventory database, so it's not as easy as just "reinstalling" (oh I wish it was, I do). Since the folders are still there, I'm hoping it's something recoverable and just out of my realm of troubleshooting.

I am not well versed in WordPress, so it's difficult to troubleshoot for me. Any help at all would be appreciated GREATLY. SOS, MAYDAY

Since I had the same problem I tried to downgrade.
After downgrading I realized the plugins get still blocked. This time I got to know the reason "The plugin was deactived. The header isn't valid."
So I looked into my plugins and understood what about the header was wrong...
I've been infected with malware. :(
This is exactly the same case: http://wordpress.org/support/topic/7-website-same-error-the-plugin-does-not-have-a-valid-header

In my case it had nothing to do with the update. After the update I just clicked on the plugins section on the dashboard and the plugins got deactivated by WordPress automatically (fortunately).
You can find some help, if you click on my link. Maybe the same thing happened to you.
