I tried the automatic update to 3.4.1 and it says

Warning: copy(/home/content/m/b/e/mbetita/html/wp-admin/customize.php) [function.copy]: failed to open stream: Permission denied in /home/content/m/b/e/mbetita/html/wp-admin/includes/class-wp-filesystem-direct.php on line 200

    Could not copy file.: /home/content/m/b/e/mbetita/html/wp-admin/customize.php

    Installation Failed

I tried to manually upgrade, but in step four it says to delete the wp-includes folder and wp-admin folders, but when I try to delete them it says permission denied. On my ftp program I changed options to allow me to delete folders, but ftp still won't allow me to delete. So I clicked on the css folder, and there's nothing in it, tried to delete the folder and it says permission denied.

I can't go anywhere on the site, if I leave the update page it says

Fatal error: Call to undefined function wp_get_themes() in /home/content/m/b/e/mbetita/html/wp-admin/includes/class-wp-themes-list-table.php on line 27

    or

Fatal error: Call to undefined function wp_is_mobile() in /home/content/m/b/e/mbetita/html/wp-admin/includes/misc.php on line 586

or other errors depending on which page I want to go to.

    help!

    carrie

Ask your hosts for assistance with the folder deletions.

You could try it but ideally you should delete the old files & folders before uploading the new versions.

Ok...tried overwriting, two items failed. Tried overwriting the index.php from the wp-content folder, it failed. the site is still there, but can no longer log in.

You need to get your hosts to sort this out. It's probably a folder/file ownership issue - something that only they can fix.

Which ftp program you using as on filezilla you can delete folders.
Check permission Normally should be 755 for folders and 644 for files.

The folders are 501....(I'm using ws-ftp from ipswitch)
I changed them to 755, and attempted to delete again. This time it went. =) Thanks govpatel.

One more question - in the WP how to update page it says

Upload the individual files from the new wp-content folder to your existing wp-content folder, overwriting existing files. Do NOT delete your existing wp-content folder. Do NOT delete any files or folders in your existing wp-content directory (except for the one being overwritten by new files).

the only "loose" files I have in wp-content is index.php and wp-cache.php. do I also upload the folders as well? I'm not sure what it means by individual files.

Normally there is not any files that you need to update in wp-content folder so you can leave that as is do not delete or replace the folder as this folder is where your plugins, themes and uploads are saved.

Ok..that took forever. =) Followed the rest of the instructions, but now my password doesn't work. But the site is back online. Waiting for an email to reset my password so I can see if the dashboard etc is still there!

You are welcome it should not have taken that long to update manually we do all time if automatic did not update properly.

There many reasons it may be connection problem while you were updating that caused the problem.
