I started a wordpress site on wordpress.com and the theme I used was chaoticSoul, which is not available on wordpress.org my other problem is I no longer have the photo I used in the header. I want to keep my site EXACTLY the same - just moved over to wordpress.org so i can add addwords etc. Can I do this? Is there a way to simply "upgrade" from .com to .org I have already 'exported' and 'imported' posts etc. But this doesn't help with the layout and them etc. Please help!!

Then I'd advise you to stay on wordpress.com. Even if you can find the chaoticSoul theme available for download, it's likely that the version on wordpress.com will have been significantly customised.

But if I stay on wordpress.com I cannot have use my own domain name or make money from the site.. is this correct?
