I have trying many times to update YAK 3.2.1 to latest version and it fails. It loads only main component and all modules are missing.

    Any idea why?

    Thanks

What's the final error message? There was a change made a while back to move some of the add-on modules out as separate plugins:

    For example:
    http://wordpress.org/extend/plugins/yak-ext-manualcc/
    http://wordpress.org/extend/plugins/yak-ext-accrecv/
    http://wordpress.org/extend/plugins/yak-ext-authorizenet/

    (and others).

After that change you would get errors about missing modules, but the update would still work. I haven't seen a scenario where the upgrade actually failed completely...

No error at all. Ended with removed all YAK modules. When I have try to install manually YAK main plugin and YAK Module - Authorize.net all my products disappear from the YAK product list.

Only one error message which I'm getting:

The plugin yak-for-wordpress/yak-module-authorizenet.php has been deactivated due to an error: Plugin file does not exist.

There's only one DB update between the version you're running and the latest version. Try deactivating and reactivating YAK to see if it fixes the problem.
