Hi guys. I am in need of a single script that will give me two different links. If I am logged-in in, it will show LOGOUT, and if I am logged out it will show LOGIN.

Have you looked at the wp_loginout template tag?
The WordPress Default theme has an example of that in the sidebar.php file.
