For some reason when I try and auto update, it downloads the .zip file to my wp-content file but does not install. Any suggestions on what can be happening?

Might need more permissive 'permissions' on wp-content so review Changing File Permissions.
Also might install Core Control plguin to see what transports your host provides... http://wordpress.org/extend/plugins/core-control/

It only needed PHP5 inserted into the htaccess file.
